Welcome to the Penn Medicine website for the Penn Center for Community Health Workers and its IMPaCT™ program (the “Site”). By accessing any pages of this Site, downloading any of its content, or otherwise using the Site, your conduct constitutes your legal acceptance of the terms and conditions in these Terms of Use. If you do not agree to any of the terms in these Terms of Use, please do not further access or use this Site or download any of its content. The University of Pennsylvania (“Penn”) may amend or add to these Terms of Use at any time, without sending notice to you, by posting the new Terms of Use from links at the Site, and your later access or use of the Site constitutes your legal acceptance of the amended or additional Terms of Use, so please check back at this link often to make sure you are aware of the then-current terms governing this Site. 1. Feedback. We welcome your comments and feedback on materials you find on the Site. However, do not send Penn any confidential information, trade secrets, specific patient information, or any other information or material that you do not give Penn permission to use freely. You also agree not to send Penn any information or materials that you do not own in their entirety. Penn may use any of the information or materials you send as part of its research, teaching, education and/or clinical care missions, including incorporating ideas from those comments or feedback into the IMPaCT program or otherwise into Penn proprietary materials, and you are not entitled to any money, authorship credit, or other compensation or consideration if or when Penn uses the information or materials you provide.

2. Copyright. All of the text, audio, video, graphics, images, metadata and/or technology accessed from this website or obtained from the Penn Center for Community Health Workers and its agents or affiliates, including but not limited to the Manuals available for download, and access to workflow management system technologies (collectively, the “Content”), is owned by Penn and is protected by copyright and other legal rights. Please refer to the Online Content License Agreement for details regarding what you are granted permission to do with certain Content. You cannot reproduce, publicly distribute, publicly display, publicly perform, or otherwise create derivative works from, any of the text, audio, video, graphics, images, metadata and/or technology at the Site, except as set forth otherwise in the Online Content License Agreement.

3. Disclaimer of Warranties and Limitation of Liability. THE CONTENT IS PROVIDED “AS IS,” WITHOUT ANY WARRANTY OF ANY KIND. PENN EXPRESSLY DISCLAIMS ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT. PENN DOES NOT WARRANT THE EFFECTIVENESS OR COMPLETENESS OF THE CONTENT, OR ITS APPLICABILITY TO YOU OR YOUR ORGANIZATION, OR RESULTS OR LACK OF RESULTS YOU MAY EXPERIENCE. 4. Additional Terms. These Terms of Use are the final and entire agreement between Penn and you on the subject matter set forth in this Agreement, and supersedes any previous discussions, negotiations, understandings or agreements on the subject matter set forth in the Terms of Use, except for the Online Content License Agreement. If there is an ambiguity or discrepancy between a term in the Online Content License Agreement and these Terms of Use, the term in the Online Content License Agreement shall prevail in meaning and interpretation, and shall be deemed to reflect the mutual agreement of Penn and you regarding such term. The terms in these Terms of Use are severable. If a term is held to be invalid or unenforceable, it shall be deemed severed and shall not affect the validity or enforceability of all other terms and the Terms of Use as a whole. Any waiver of any term of these Terms of Use, or a breach of a term of these Terms of Use, must be in writing and signed by the party waiving such term or such breach. A failure to enforce any term in these Terms of Use shall not constitute or be deemed to be a waiver of such term or any subsequent breach of such term. If there is a dispute about or related to or in connection with or arising out of the Site or these Terms of Use, you hereby irrevocably agree to bring any lawsuit in a federal or state court located in Philadelphia, Pennsylvania, and hereby irrevocably consent to such court’s personal jurisdiction and venue. You shall comply with all applicable laws, rules and regulations in connection with your use of the Content, and your provision of health care services as a result of your implementation of the programs and methods contained in the Content. Penn is not liable for, and you will hold Penn harmless against, any claims, complaints, demands or causes of action related to your use of the Content or provision of health care services.
