2. Copyright. All of the text, audio, video, graphics, images, metadata and/or technology accessed from this website or obtained from the Penn Center for Community Health Workers and its agents or affiliates, including but not limited to the Manuals available for download, and access to workflow management system technologies (collectively, the “Content”), is owned by Penn and is protected by copyright and other legal rights. Please refer to the Online Content License Agreement for details regarding what you are granted permission to do with certain Content. You cannot reproduce, publicly distribute, publicly display, publicly perform, or otherwise create derivative works from, any of the text, audio, video, graphics, images, metadata and/or technology at the Site, except as set forth otherwise in the Online Content License Agreement.

4. Additional Terms. These Terms of Use are the final and entire agreement between Penn and you on the subject matter set forth in this Agreement, and supersedes any previous discussions, negotiations, understandings or agreements on the subject matter set forth in the Terms of Use, except for the Online Content License Agreement. If there is an ambiguity or discrepancy between a term in the Online Content License Agreement and these Terms of Use, the term in the Online Content License Agreement shall prevail in meaning and interpretation, and shall be deemed to reflect the mutual agreement of Penn and you regarding such term. The terms in these Terms of Use are severable. If a term is held to be invalid or unenforceable, it shall be deemed severed and shall not affect the validity or enforceability of all other terms and the Terms of Use as a whole. Any waiver of any term of these Terms of Use, or a breach of a term of these Terms of Use, must be in writing and signed by the party waiving such term or such breach. A failure to enforce any term in these Terms of Use shall not constitute or be deemed to be a waiver of such term or any subsequent breach of such term. If there is a dispute about or related to or in connection with or arising out of the Site or these Terms of Use, you hereby irrevocably agree to bring any lawsuit in a federal or state court located in Philadelphia, Pennsylvania, and hereby irrevocably consent to such court’s personal jurisdiction and venue. You shall comply with all applicable laws, rules and regulations in connection with your use of the Content, and your provision of health care services as a result of your implementation of the programs and methods contained in the Content. Penn is not liable for, and you will hold Penn harmless against, any claims, complaints, demands or causes of action related to your use of the Content or provision of health care services.
